Welcome to the CTG Code website. This website and its related software development services are operated by FRANKLIN DAVID SERRANO MONTES, a natural person formally registered as a merchant with the Chamber of Commerce, identified with Tax ID (NIT) 1007976195-2. By accessing this website or hiring our services, you agree to comply with and be bound by the following terms and conditions. If you disagree with any part of these terms, please do not use our website or services.
Intellectual Property and Software Licensing
- Ownership by CTG Code: All content, interface designs, base source code, tools, trademarks, and graphics displayed on this website or embedded in our solutions are the exclusive property of CTG Code (owned by FRANKLIN DAVID SERRANO MONTES).
- Client Deliverables: The source code, automation, or software developed for a client remains the property of CTG Code, unless the total transfer of economic rights is explicitly negotiated, formalized, and paid for in full according to the corresponding service contract.
- License of Use: Until such transfer is completed, the client receives a permanent, non-exclusive, internal license of use. This copy of the code is delivered solely for the client's internal operations.
- Freedom of Maintenance: This license explicitly grants the client the freedom to hire third parties to build new features, modify, or perform maintenance on the delivered software. Under no circumstances do we lock in or force the client to work exclusively with us to update their platform.
Liability for Code Leaks and Code Custody
- Any leak, unauthorized copying, or exposure of code that has not been publicly released by us (such as private GitHub repositories or proprietary libraries) will be the sole responsibility of the client once the software has been delivered.
- If the leak or misuse of the code is caused by external staff or third parties hired by the client for maintenance or updates, the legal liability towards CTG Code will remain with the client. The client may, at their own discretion, pursue legal action against that third party.
- It is strictly prohibited to reverse engineer, hack, or engage in any malicious or unlawful use of any software delivered by us.
Third-Party Service Providers and Technical Limitation of Liability
- Commitment to Quality: We formally commit to building and deploying our solutions using established, reliable, and industry-standard global infrastructure providers (such as Google, GitHub, Formspree, Hostinger, among others) to minimize any service downtime or security risks.
- Out-of-Control Failures: Due to the nature of software engineering, CTG Code shall not be held legally or financially liable for service interruptions, server crashes, connectivity issues, or security breaches directly caused by these third-party providers. We will always try to provide support and seek solutions for anything within our direct technical control; however, if a solution is impossible due to a provider failure, the client understands and accepts it is outside our scope.
- Migrations: Should the client decide to migrate their systems, databases, or infrastructure to other servers or technologies, such consulting, export, and deployment work will be quoted and billed completely separately.
Governing Law and Jurisdiction
These terms are governed by and construed in accordance with the laws of the Republic of Colombia. Any dispute, claim, or controversy arising out of the use of this website or the execution of our development services shall be subject to the exclusive jurisdiction of the courts of Cartagena, Colombia.
